Importing and Selling Products During Your Pop-Up

If you plan to sell products during your pop-up in the United States, you will need to arrange for your goods to be imported and, if applicable, exported after the event.

Parasol offers two options depending on how you would like the products to be handled.

Option 1: Your Company Imports and Sells the Products

This is the preferred option for most clients.

Your company imports the goods directly under your own company name using a customs broker. Foreign companies can often do this even if they do not have a U.S. EIN by obtaining a Customs Assigned Number.

Under this option:

  • Your company is the importer of record
  • Your company is responsible for customs declarations, duties, and compliance
  • Your company is responsible for registering to collect any required U.S. sales tax
  • Your company sells the products directly to customers during the pop-up
  • Your company is responsible for exporting any unsold products after the event

This option keeps all product-related responsibilities with your company and is generally the simplest and lowest-risk structure.

Option 2: Parasol Import and Sales Service

Parasol can also provide a full-service option for certain approved clients.

Under this option:

  • Parasol imports the products under Parasol’s EIN
  • The products are sold through Parasol’s POS system during the pop-up
  • Parasol collects and remits the applicable sales tax
  • Parasol coordinates the export of any unsold products after the event

Because Parasol is acting as both the importer and seller of record, this option requires additional documentation and fees.

Additional fees may include:

  • Import coordination fee
  • POS rental and setup fee
  • Sales commission or administration fee
  • Export coordination fee for any unsold products

Additional Documentation Required for Option 2

Clients choosing this option must provide:

  • A complete inventory list with descriptions and values before shipment
  • Product details and any required safety or compliance documentation
  • Proof of insurance covering the products
  • A signed agreement covering:
    • Ownership of the products
    • Customs and import responsibilities
    • Product liability
    • Sales tax
    • Export of unsold goods
    • Timing of payment and settlement after the event

Parasol reserves the right to decline this service for certain products or brands.

Option 3: Parasol Import Service Only

For select approved clients, Parasol may offer a limited import-only service.

Under this option:

  • Parasol acts as the importer of record using Parasol’s EIN
  • The client is responsible for all product sales during the pop-up
  • The client must use their own POS system and sales channels
  • The client is responsible for collecting and remitting any applicable sales tax
  • The client remains responsible for product handling, staffing, customer transactions, and sales operations
  • The client is responsible for coordinating the export, transfer, or disposal of any unsold inventory after the event unless otherwise agreed in writing

Because Parasol is acting as the importer of record, this option still requires additional review, documentation, and administrative fees.

Additional fees may include:

  • Import coordination fee
  • Customs processing and administrative fee
  • Storage or handling fees, if applicable
  • Export coordination fee for unsold inventory, if requested

Clients choosing this option must still provide all required inventory documentation, product compliance information, and proof of insurance prior to shipment.

Parasol reserves the right to decline this service based on product category, compliance requirements, timeline, or operational considerations.

Unsold Products

At the end of the pop-up, any unsold products must either:

  • Be exported from the United States
  • Be shipped to another approved U.S. location
  • Be disposed of at the client’s expense

If Parasol is handling the import and sale of the products, any unsold inventory must be removed or exported within the timeframe specified in the agreement.

Recommendation

For most clients, we recommend importing and selling the products under your own company name.
