Third-Party Disruptions (e.g., Scaffolding, Construction & External Conditions)

When hosting a pop-up with Parasol Projects, it is important to understand that certain external conditions affecting the space or surrounding area are fully outside of Parasol’s control. This article explains how these situations are handled and Parasol’s position regarding liability.


Overview

Parasol licenses short-term pop-up spaces located within existing buildings and retail environments. While we work hard to select high-quality, visible locations, conditions in and around the building can change unexpectedly due to actions taken by landlords, neighboring tenants, municipalities, or other third parties.

In these situations, Parasol cannot guarantee uninterrupted access, visibility, or trading conditions.


Common Examples of Third-Party Issues

The following are examples of disruptions that may occur before or during a pop-up activation:

Building & Streetscape Changes

  • Installation of scaffolding on the building façade
  • Sidewalk sheds or protective structures required for repairs
  • Neighboring construction projects
  • Temporary loss of storefront visibility due to exterior works
  • Restaurant seating structures, street closures, or roadworks

Access & Operational Disruptions

  • Utility interruptions such as power, water, or internet outages
  • Elevator or common-area issues in the building
  • Changes to building operating procedures or security policies
  • Limited access due to landlord-initiated maintenance

Government & Public Conditions

  • City, state, or federal emergency orders or lockdowns
  • Public demonstrations, civil disturbances, or safety restrictions
  • Weather-related disruptions (e.g., storms, flooding, extreme conditions)
  • Reduced responsiveness or availability of emergency services

Neighborhood Environment

  • Temporary increases in street congestion or noise
  • Presence of unhoused individuals or other public-space challenges
  • Unexpected changes in foot traffic patterns due to external events

Parasol’s Position on Liability

These types of circumstances are considered third-party events and are outside Parasol’s control.

Accordingly:

  • Parasol cannot be held liable for disruptions caused by landlords, neighboring tenants, municipalities, utilities, or other third parties.
  • Changes affecting storefront visibility, accessibility, or trading conditions do not constitute a failure by Parasol to deliver the licensed space.
  • Licensees are responsible for planning activations with an understanding that urban retail environments are dynamic and subject to change.

How Parasol Supports Clients

While Parasol is not responsible for third-party disruptions, we aim to be a proactive partner by:

  • Communicating known building or streetscape works when information is available
  • Assisting with operational adjustments where feasible
  • Offering marketing or activation strategy guidance to help mitigate impact
  • Maintaining strong relationships with landlords and local stakeholders

Recommendation

Brands should incorporate reasonable flexibility into pop-up planning, including:

  • Allowing contingency time for setup and trading
  • Designing window displays and signage adaptable to temporary obstructions
  • Aligning staffing, marketing, and inventory plans with real-world retail conditions
